Rozdział I. Postanowienia ogólne

§ 1. Nazwa i podstawy działania

1. Fundacja pod nazwą „Fundacja One Reason”, zwana dalej „Fundacją”, została ustanowiona przez Bartosza Sińczuka, zwanego dalej „Fundatorem”.

2. Fundacja działa na podstawie:

ustawy z dnia 6 kwietnia 1984 r. o fundacjach,

ustawy z dnia 24 kwietnia 2003 r. o działalności pożytku publicznego i o wolontariacie w zakresie, w jakim ma zastosowanie do działalności Fundacji,

niniejszego Statutu.

3. Fundacja posiada osobowość prawną od chwili wpisu do Krajowego Rejestru Sądowego.

4. Fundacja działa jako organizacja neutralna światopoglądowo i politycznie. Fundacja nie działa na rzecz żadnej partii politycznej ani komitetu wyborczego.

§ 2. Siedziba, teren działania i czas trwania

1. Siedzibą Fundacji jest Warszawa.

2. Fundacja działa na terytorium Rzeczypospolitej Polskiej oraz poza jej granicami, z poszanowaniem prawa państwa, na którego terytorium prowadzi działania.

3. Dla realizacji celów statutowych Fundacja może tworzyć oddziały, filie, przedstawicielstwa, biura projektowe i inne jednostki organizacyjne w kraju i za granicą, a także przystępować do organizacji krajowych i międzynarodowych.

4. W kontaktach międzynarodowych Fundacja może posługiwać się tłumaczeniem nazwy: „One Reason Foundation” oraz odpowiednikami nazwy w innych językach.

5. Fundacja została ustanowiona na czas nieoznaczony.

6. Ministrem właściwym ze względu na cele Fundacji jest minister właściwy do spraw rodziny.

§ 3. Charakter działalności

1. Fundacja jest organizacją niedziałającą w celu osiągnięcia zysku. Całość dochodu Fundacji jest przeznaczana na realizację celów statutowych.

2. Fundacja prowadzi działalność nieodpłatną pożytku publicznego oraz może prowadzić odpłatną działalność pożytku publicznego, na zasadach przewidzianych przepisami prawa.

3. Fundacja może prowadzić działalność gospodarczą w zakresie niezbędnym do realizacji celów statutowych. Podjęcie działalności gospodarczej wymaga uprzedniej uchwały Zarządu większością 2/3 głosów oraz dokonania właściwego wpisu w Krajowym Rejestrze Sądowym.

4. Dochód z działalności gospodarczej służy wyłącznie realizacji celów statutowych Fundacji i nie może być przeznaczony do podziału między Fundatora, członków organów Fundacji ani jej pracowników.

5. Fundacja może zatrudniać pracowników, współpracowników, ekspertów, pełnomocników i wolontariuszy oraz zawierać umowy niezbędne do realizacji celów statutowych.

Rozdział II. Cele i sposoby działania Fundacji

§ 4. Cele Fundacji

Celem Fundacji jest działalność społecznie użyteczna w obszarze ochrony dobra dziecka, praw rodziny, wsparcia rodziców oraz przeciwdziałania niesprawiedliwości społecznej, w szczególności:

1. wspieranie rodziców oraz dzieci doświadczających izolacji rodzinnej, utrudniania kontaktów, konfliktu okołorozstaniowego, alienacji rodzinnej lub innych sytuacji powodujących zerwanie albo poważne ograniczenie więzi rodzinnych;

2. działanie na rzecz prawa dziecka do bezpiecznych, trwałych i pełnych szacunku relacji z obojgiem rodziców oraz z osobami bliskimi, z pierwszeństwem dobra i bezpieczeństwa dziecka;

3. tworzenie wspólnoty wzajemnego wsparcia rodziców, opiekunów i osób bliskich dzieciom, bez względu na płeć, obywatelstwo, pochodzenie, wyznanie, światopogląd, niepełnosprawność, orientację seksualną lub sytuację rodzinną;

4. udzielanie rodzicom i rodzinom wsparcia informacyjnego, edukacyjnego, psychologicznego, społecznego i organizacyjnego w granicach przewidzianych prawem;

5. upowszechnianie wiedzy o prawach dziecka, prawach rodziców, odpowiedzialnym rodzicielstwie, mediacji, komunikacji bez przemocy, przeciwdziałaniu przemocy oraz standardach sprawiedliwego postępowania przed instytucjami publicznymi;

6. przeciwdziałanie dyskryminacji rodziców oraz dzieci w dostępie do ochrony prawnej, pomocy społecznej, wsparcia psychologicznego i edukacji;

7. wspieranie rozwiązań prawnych, społecznych i organizacyjnych, które służą ochronie więzi rodzinnych, rzetelności postępowań, poszanowaniu praw człowieka i ograniczaniu krzywdy dzieci;

8. prowadzenie działalności badawczej, edukacyjnej, rzeczniczej i międzynarodowej dotyczącej sytuacji rodziców izolowanych od dzieci oraz dzieci pozbawianych relacji rodzinnych;

9. budowanie solidarności społecznej oraz kultury sprawiedliwości, odpowiedzialności i wzajemnej pomocy.

§ 5. Zasady działania i ochrona dobra dziecka

1. Fundacja kieruje się zasadą pierwszeństwa dobra dziecka, poszanowania godności człowieka, równego traktowania rodziców oraz odpowiedzialnego i zgodnego z prawem działania.

2. Fundacja nie zastępuje sądu, organów ścigania, organów administracji ani profesjonalnych pełnomocników procesowych. Fundacja może udzielać informacji, wsparcia organizacyjnego oraz kierować do właściwych specjalistów.

3. Fundacja nie wspiera działań sprzecznych z dobrem dziecka, działań przemocowych, nękania, obchodzenia orzeczeń sądowych, ukrywania dziecka ani naruszania prawa.

4. Fundacja może odmówić udzielenia wsparcia, jeżeli z okoliczności sprawy wynika ryzyko naruszenia bezpieczeństwa dziecka lub innych osób albo wykorzystania Fundacji do działań niezgodnych z prawem, w rozumieniu kodeksu rodzinnego i opiekuńczego oraz Konwencji o prawach dziecka.

5. Wsparcie udzielane Fundatorowi, członkom Zarządu lub osobom z nimi powiązanym jako beneficjentom działań statutowych jest dopuszczalne wyłącznie na takich samych zasadach jak wobec innych beneficjentów, pod warunkiem że decyzję podejmuje organ Fundacji bez udziału osoby zainteresowanej.

§ 6. Formy realizacji celów

Fundacja realizuje swoje cele w szczególności poprzez:

1. organizowanie grup wsparcia, kręgów samopomocowych, spotkań, konsultacji, dyżurów, warsztatów, webinarów, konferencji i kampanii społecznych;

2. tworzenie i prowadzenie społeczności, platform internetowych, punktów informacyjnych, programów mentoringowych i sieci wolontariatu;

3. udzielanie wsparcia informacyjnego i edukacyjnego rodzicom, opiekunom, rodzinom oraz osobom bliskim dzieciom;

4. kierowanie do specjalistów — psychologów, pedagogów, mediatorów, adwokatów, radców prawnych, lekarzy, pracowników socjalnych — oraz współpracę z nimi w granicach przewidzianych prawem;

5. opracowywanie, wydawanie i rozpowszechnianie raportów, analiz, poradników, publikacji, materiałów edukacyjnych, treści audiowizualnych oraz narzędzi cyfrowych;

6. prowadzenie badań, monitoringu praktyk instytucjonalnych oraz dokumentowanie problemów społecznych w granicach prawa i z poszanowaniem prywatności osób;

7. występowanie z petycjami, wnioskami, opiniami, stanowiskami i rekomendacjami do organów władzy publicznej, organizacji międzynarodowych oraz innych podmiotów;

8. organizowanie mediacji, dialogu społecznego i działań służących pokojowemu rozwiązywaniu konfliktów, jeżeli nie sprzeciwia się temu bezpieczeństwo dziecka lub innych osób;

9. wspieranie inicjatyw legislacyjnych i systemowych służących ochronie dzieci, rodziców i rodzin;

10. pozyskiwanie środków finansowych, rzeczowych i osobowych na realizację celów Fundacji, w tym darowizn, dotacji, grantów, zapisów, spadków, zbiórek publicznych i środków zagranicznych;

11. współpracę międzynarodową, udział w projektach ponadnarodowych oraz wymianę wiedzy i dobrych praktyk z organizacjami z innych państw;

12. prowadzenie działalności gospodarczej w zakresie niezbędnym do realizacji celów statutowych, po podjęciu stosownej uchwały Zarządu.

§ 7. Działalność nieodpłatna i odpłatna pożytku publicznego

1. Nieodpłatna działalność pożytku publicznego Fundacji może obejmować wszystkie działania wskazane w § 6, jeżeli są prowadzone bez pobierania wynagrodzenia od odbiorców tych działań.

2. Odpłatna działalność pożytku publicznego Fundacji może obejmować w szczególności: szkolenia, warsztaty, konferencje, konsultacje edukacyjne i informacyjne, publikacje, materiały edukacyjne, programy wsparcia oraz projekty społeczne, o ile pobierane wynagrodzenie nie przekracza kosztów tej działalności w rozumieniu właściwych przepisów.

3. Przychód z odpłatnej działalności pożytku publicznego służy wyłącznie realizacji celów statutowych Fundacji.

Rozdział III. Majątek i dochody Fundacji

§ 8. Majątek Fundacji

1. Majątek Fundacji stanowi fundusz założycielski wniesiony przez Fundatora w kwocie 5 000,00 zł (słownie: pięć tysięcy złotych zero groszy).

2. Majątek Fundacji mogą stanowić środki pieniężne, prawa majątkowe, rzeczy ruchome, nieruchomości oraz inne składniki majątkowe nabyte przez Fundację w toku jej działania.

3. Fundacja odpowiada za swoje zobowiązania całym swoim majątkiem.

§ 9. Źródła dochodów

Dochody Fundacji mogą pochodzić w szczególności z:

1. darowizn, spadków, zapisów i poleceń;

2. dotacji, subwencji, grantów, konkursów, programów publicznych i prywatnych;

3. zbiórek publicznych, akcji crowdfundingowych i kampanii darowizn prowadzonych zgodnie z prawem;

4. odpłatnej działalności pożytku publicznego;

5. działalności gospodarczej prowadzonej na podstawie § 3 ust. 3;

6. majątku Fundacji, odsetek bankowych i innych przychodów finansowych;

7. współpracy z podmiotami krajowymi i zagranicznymi, w tym z organizacjami międzynarodowymi;

8. świadczeń rzeczowych, pracy wolontariuszy oraz nieodpłatnych świadczeń na rzecz Fundacji.

§ 10. Gospodarka finansowa i ograniczenia

1. Majątek i dochody Fundacji są przeznaczane wyłącznie na realizację celów statutowych oraz pokrywanie kosztów działalności Fundacji.

2. Fundacja prowadzi gospodarkę finansową i rachunkowość zgodnie z obowiązującymi przepisami prawa.

3. Zabronione jest udzielanie pożyczek lub zabezpieczanie zobowiązań majątkiem Fundacji w stosunku do członków jej organów, Fundatora, pracowników Fundacji oraz osób, z którymi osoby te pozostają w związku małżeńskim, we wspólnym pożyciu albo w stosunku pokrewieństwa lub powinowactwa w linii prostej, pokrewieństwa lub powinowactwa w linii bocznej do drugiego stopnia, albo są związane z tytułu przysposobienia, opieki lub kurateli, zwanych dalej „osobami powiązanymi”.

4. Zabronione jest przekazywanie majątku Fundacji na rzecz osób powiązanych na zasadach innych niż wobec osób trzecich, chyba że przekazanie to bezpośrednio wynika z celu statutowego Fundacji i odbywa się na zasadach określonych w § 5 ust. 5.

5. Zabronione jest wykorzystywanie majątku Fundacji na rzecz osób powiązanych na zasadach innych niż wobec osób trzecich, chyba że wykorzystanie to bezpośrednio wynika z celu statutowego Fundacji i odbywa się na zasadach określonych w § 5 ust. 5.

6. Zabroniony jest zakup towarów lub usług od podmiotów, w których uczestniczą osoby powiązane, na zasadach innych niż wobec osób trzecich lub po cenach wyższych niż rynkowe.

Rozdział IV. Organy Fundacji

§ 11. Organy Fundacji

1. Organem Fundacji jest Zarząd Fundacji, zwany dalej „Zarządem”.

2. Fundator nie jest organem Fundacji, chyba że pełni funkcję członka Zarządu. Fundatorowi przysługują uprawnienia osobiste wskazane w Statucie.

3. Zarząd może powoływać rady programowe, zespoły eksperckie, koordynatorów krajowych i zagranicznych, ambasadorów, wolontariuszy oraz inne ciała doradcze i wykonawcze, które nie są organami Fundacji w rozumieniu niniejszego Statutu.

§ 12. Skład i powoływanie Zarządu

1. Zarząd składa się z jednej do pięciu osób, w tym Prezesa Zarządu. Członkiem Zarządu może być Fundator.

2. Pierwszy skład Zarządu powołuje Fundator. Kolejnych członków Zarządu powołuje i odwołuje Fundator w drodze pisemnego oświadczenia lub uchwały.

3. Członkowie Zarządu są powoływani na czas nieoznaczony, chyba że akt powołania stanowi inaczej.

4. Mandat członka Zarządu wygasa wskutek odwołania, rezygnacji, śmierci, utraty pełnej zdolności do czynności prawnych albo prawomocnego skazania za przestępstwo umyślne ścigane z oskarżenia publicznego lub przestępstwo skarbowe.

5. W razie trwałej niemożności wykonywania uprawnień przez Fundatora albo jego śmierci, uprawnienie do powoływania i odwoływania członków Zarządu przechodzi na Zarząd, który podejmuje uchwały w tej sprawie większością 2/3 głosów, a przy Zarządzie jednoosobowym — w formie pisemnej decyzji jedynego członka Zarządu.

6. Członkowie Zarządu mogą otrzymywać wynagrodzenie z tytułu pełnienia funkcji lub z tytułu odrębnych umów zawartych z Fundacją. Łączne wynagrodzenie miesięczne członka Zarządu nie może przekroczyć trzykrotności przeciętnego miesięcznego wynagrodzenia w sektorze przedsiębiorstw, ogłaszanego przez Prezesa Głównego Urzędu Statystycznego za rok poprzedni.

§ 13. Kompetencje Zarządu

Do kompetencji Zarządu należy prowadzenie wszystkich spraw Fundacji, w szczególności:

1. reprezentowanie Fundacji na zewnątrz;

2. realizacja celów statutowych oraz uchwalanie strategii, planów i programów działania;

3. zarządzanie majątkiem i finansami Fundacji;

4. przyjmowanie darowizn, spadków, zapisów, dotacji, grantów i innych świadczeń;

5. zatrudnianie i zwalnianie pracowników, współpracowników oraz ustanawianie pełnomocników;

6. tworzenie i likwidowanie jednostek organizacyjnych Fundacji w kraju i za granicą;

7. uchwalanie regulaminów, polityk, procedur i zasad działania Fundacji;

8. podejmowanie decyzji o prowadzeniu odpłatnej działalności pożytku publicznego oraz działalności gospodarczej;

9. sporządzanie sprawozdań finansowych, merytorycznych i innych wymaganych prawem sprawozdań;

10. podejmowanie innych czynności niezastrzeżonych dla Fundatora albo innych podmiotów przepisami prawa lub Statutem.

§ 14. Tryb pracy Zarządu

1. Zarząd podejmuje uchwały na posiedzeniach zwoływanych przez Prezesa Zarządu lub dwóch członków Zarządu, z co najmniej 3-dniowym wyprzedzeniem, chyba że wszyscy członkowie Zarządu wyrażą zgodę na krótszy termin.

2. Zarząd może podejmować uchwały w trybie obiegowym (pisemnym lub za pomocą środków komunikacji elektronicznej), jeżeli wszyscy członkowie Zarządu otrzymali projekt uchwały i żaden z nich nie zażądał zwołania posiedzenia.

3. Zarząd jest zdolny do podejmowania uchwał, jeżeli w posiedzeniu (lub w głosowaniu obiegowym) uczestniczy co najmniej połowa składu Zarządu, w tym Prezes lub jego zastępca.

4. Uchwały Zarządu zapadają zwykłą większością głosów obecnych członków Zarządu, przy czym w przypadku równości głosów decyduje głos Prezesa Zarządu, chyba że Statut stanowi inaczej.

5. Szczegółowy tryb pracy Zarządu może być określony w regulaminie uchwalonym przez Zarząd.

§ 15. Reprezentacja Fundacji

1. Oświadczenia woli w imieniu Fundacji, w tym czynności przekraczające zakres zwykłego zarządu, składa:

Prezes Zarządu jednoosobowo, w przypadku Zarządu wieloosobowego, albo

dwóch członków Zarządu łącznie, w przypadku Zarządu wieloosobowego, albo

jedyny członek Zarządu jednoosobowo, w przypadku Zarządu jednoosobowego.

2. Do czynności przekraczających zakres zwykłego zarządu, w rozumieniu art. 230 Kodeksu cywilnego, zalicza się w szczególności:

nabycie lub zbycie nieruchomości,

obciążenie majątku Fundacji,

zaciągnięcie zobowiązania przekraczającego 50 000,00 zł,

podjęcie lub prowadzenie działalności gospodarczej,

przystąpienie do spółki lub innego podmiotu wymagającego zaangażowania kapitałowego.

3. Do zawarcia umowy i dokonania czynności prawnej między Fundacją a członkiem Zarządu lub do reprezentowania Fundacji w sporze z członkiem Zarządu wymagane jest powołanie pełnomocnika przez Fundatora. W przypadku trwałej niemożności wykonywania uprawnień przez Fundatora pełnomocnika powołuje Zarząd większością 2/3 głosów, z wyłączeniem członka, którego dotyczy czynność prawna lub spór.

Rozdział V. Uprawnienia Fundatora

§ 16. Zakres uprawnień Fundatora

Do wyłącznych uprawnień osobistych Fundatora należy:

1. powoływanie i odwoływanie członków Zarządu, w tym Prezesa Zarządu, zgodnie z § 12 ust. 2;

2. zatwierdzanie rocznych sprawozdań finansowych i merytorycznych Fundacji, w terminie do 30 czerwca roku następującego po roku obrotowym;

3. wyrażenie zgody na zmianę Statutu w zakresie celów Fundacji oraz na likwidację Fundacji;

4. nadzór nad zgodnością działalności Fundacji z prawem, Statutem i wolą Fundatora;

5. wgląd do dokumentów, ksiąg rachunkowych, sprawozdań i korespondencji Fundacji w każdym czasie;

6. żądanie od Zarządu wyjaśnień, informacji i dokumentów dotyczących działalności Fundacji;

7. uczestnictwo w posiedzeniach Zarządu z głosem doradczym, bez prawa głosu, chyba że Fundator jest członkiem Zarządu.

§ 17. Wykonywanie uprawnień przez Fundatora

1. Fundator wykonuje swoje uprawnienia w formie pisemnego oświadczenia lub uchwały skierowanej do Zarządu.

2. Zarząd jest obowiązany udostępnić Fundatorowi wszystkie żądane dokumenty w terminie 14 dni od otrzymania żądania, chyba że charakter sprawy wymaga pilnego działania.

3. W przypadku trwałej niemożności wykonywania uprawnień przez Fundatora albo jego śmierci, uprawnienia określone w § 16 ust. 1, 2, 5, 6 i 7 wygasają, a uprawnienia określone w § 16 ust. 3 i 4 przechodzą na Zarząd, który wykonuje je większością 2/3 głosów jego składu.

4. Zmiana Statutu w zakresie celów Fundacji oraz likwidacja Fundacji wymagają, zgodnie z § 16 ust. 3, uprzedniej zgody Fundatora wyrażonej w formie pisemnej. W przypadku śmierci lub trwałej niemożności działania Fundatora, uprawnienie to przechodzi na Zarząd, który podejmuje decyzję większością 2/3 głosów w głosowaniu jawnym, przy obecności wszystkich członków Zarządu.

Rozdział VI. Zmiana Statutu

§ 18. Tryb zmiany Statutu

1. Zmiana Statutu w zakresie niezwiązanym z celami Fundacji wymaga uchwały Zarządu podjętej większością 2/3 głosów w obecności co najmniej połowy składu Zarządu.

2. Zmiana Statutu w zakresie dotyczącym celów Fundacji (§ 4) wymaga:

uprzedniej pisemnej zgody Fundatora oraz

uchwały Zarządu podjętej większością 2/3 głosów w obecności wszystkich członków Zarządu.

3. W przypadku trwałej niemożności wykonywania uprawnień przez Fundatora albo jego śmierci, zgoda Fundatora nie jest wymagana, a zmiana celów Fundacji może nastąpić na podstawie uchwały Zarządu podjętej większością 2/3 głosów w obecności wszystkich członków Zarządu.

4. Uchwała o zmianie Statutu wymaga formy pisemnej i wpisania do Krajowego Rejestru Sądowego.

Rozdział VII. Likwidacja Fundacji i przeznaczenie majątku

§ 19. Likwidacja Fundacji

1. Fundacja ulega likwidacji w przypadku:

osiągnięcia celu, dla którego została ustanowiona,

wyczerpania środków finansowych i majątku Fundacji,

podjęcia uchwały o likwidacji przez Zarząd, z zachowaniem wymogów określonych w ust. 2,

innego przypadku przewidzianego przepisami prawa.

2. Likwidacja Fundacji wymaga:

uprzedniej pisemnej zgody Fundatora oraz

uchwały Zarządu podjętej większością 2/3 głosów w obecności wszystkich członków Zarządu.

3. W przypadku trwałej niemożności wykonywania uprawnień przez Fundatora albo jego śmierci, zgoda Fundatora nie jest wymagana, a likwidacja może nastąpić na podstawie uchwały Zarządu podjętej większością 2/3 głosów w obecności wszystkich członków Zarządu.

4. Likwidatorami Fundacji są członkowie Zarządu, chyba że uchwała o likwidacji lub Fundator wskażą inne osoby.

§ 20. Przeznaczenie majątku po likwidacji

1. Majątek pozostały po likwidacji Fundacji przekazuje się organizacji pożytku publicznego lub fundacji prowadzącej działalność zbliżoną do celów niniejszej Fundacji, w szczególności w zakresie ochrony praw dziecka, wsparcia rodzin, przeciwdziałania dyskryminacji lub ochrony praw człowieka.

2. Organizację, której majątek zostanie przekazany, wskazuje Zarząd w uchwale likwidacyjnej, po zasięgnięciu opinii Fundatora, jeżeli Fundator jest w stanie wykonywać swoje uprawnienia.

3. Jeżeli Fundator jest w stanie wykonywać swoje uprawnienia, przeznaczenie majątku po likwidacji wymaga uprzedniej pisemnej zgody Fundatora.

4. W przypadku braku wskazania organizacji zgodnie z ust. 2 lub braku możliwości przekazania majątku wskazanej organizacji, likwidatorzy przekazują majątek organizacji pożytku publicznego działającej w obszarze ochrony praw dziecka lub rodziny, wskazanej przez ministra właściwego do spraw rodziny.

Rozdział VIII. Postanowienia przejściowe i końcowe

§ 21. Pierwszy skład Zarządu

1. Pierwszy skład Zarządu Fundacji powołuje Fundator w akcie notarialnym ustanowienia Fundacji lub w odrębnym oświadczeniu w formie pisemnej z podpisem notarialnie poświadczonym.

2. Pierwszym Prezesem Zarządu jest Bartosz Sińczuk (Fundator), chyba że akt powołania Zarządu stanowi inaczej.

3. Pierwszy Zarząd rozpoczyna pełnienie swoich obowiązków z chwilą wpisu Fundacji do Krajowego Rejestru Sądowego.

§ 22. Pierwszy rok obrotowy

Pierwszy rok obrotowy Fundacji może być krótszy lub dłuższy niż 12 miesięcy i kończy się 31 grudnia roku, w którym nastąpił wpis Fundacji do Krajowego Rejestru Sądowego, lub — jeżeli wpis nastąpił w czwartym kwartale roku kalendarzowego — 31 grudnia roku następnego.

§ 23. Przejściowe zasady dotyczące Fundatora

1. W przypadku śmierci Fundatora lub trwałej niemożności wykonywania przez niego uprawnień, wszelkie uprawnienia osobiste Fundatora przewidziane w Statucie wygasają lub przechodzą na Zarząd w zakresie wskazanym w odpowiednich przepisach Statutu.

2. Fundator może w formie testamentu lub w odrębnym pisemnym oświadczeniu wskazać osobę lub osoby, które po jego śmierci będą uprawnione do wykonywania uprawnień nadzorczych określonych w § 16 ust. 5, 6 i 7. Wykonywanie tych uprawnień przez wskazane osoby nie wymaga zgody Zarządu.

3. Brak takiego wskazania skutkuje wygaśnięciem uprawnień nadzorczych z chwilą śmierci Fundatora.

§ 24. Język Statutu

1. Statut sporządzono w języku polskim. W razie sporządzenia tłumaczenia Statutu na język obcy, w przypadku rozbieżności wiążąca jest wersja w języku polskim.

2. Fundacja może posługiwać się tłumaczeniami Statutu w kontaktach międzynarodowych, z zastrzeżeniem pierwszeństwa wersji polskiej w zakresie interpretacji prawnej.

§ 25. Wejście w życie

Statut wchodzi w życie z dniem wpisu Fundacji do Krajowego Rejestru Sądowego.

Chapter I. General provisions

Section 1. Name and legal basis

1. The foundation under the name "Fundacja One Reason", hereinafter referred to as the "Foundation", was established by Bartosz Sinczuk, hereinafter referred to as the "Founder".

2. The Foundation operates on the basis of:

the Act of 6 April 1984 on foundations,

the Act of 24 April 2003 on public benefit activity and volunteering, to the extent applicable to the Foundation's activity,

these Articles of Association.

3. The Foundation obtains legal personality upon entry in the National Court Register.

4. The Foundation acts as an organization neutral in worldview and politics. The Foundation does not act for the benefit of any political party or election committee.

Section 2. Seat, territory of activity and duration

1. The seat of the Foundation is Warsaw.

2. The Foundation operates in the territory of the Republic of Poland and abroad, with respect for the law of the country in which it carries out its activities.

3. To pursue its statutory purposes, the Foundation may establish branches, subsidiaries, representative offices, project offices and other organizational units in Poland and abroad, and may join national and international organizations.

4. In international contacts, the Foundation may use the translated name "One Reason Foundation" and equivalents of the name in other languages.

5. The Foundation has been established for an indefinite period.

6. The minister competent for the purposes of the Foundation is the minister competent for family affairs.

Section 3. Nature of activity

1. The Foundation is a non-profit organization. All income of the Foundation is allocated to the pursuit of its statutory purposes.

2. The Foundation conducts unpaid public benefit activity and may conduct paid public benefit activity under the rules provided by law.

3. The Foundation may conduct business activity to the extent necessary to pursue its statutory purposes. Commencing business activity requires a prior resolution of the Management Board adopted by a two-thirds majority and the relevant entry in the National Court Register.

4. Income from business activity serves exclusively the pursuit of the Foundation's statutory purposes and may not be distributed among the Founder, members of the Foundation's bodies or its employees.

5. The Foundation may employ employees, associates, experts, attorneys and volunteers, and may enter into agreements necessary to pursue its statutory purposes.

Chapter II. Purposes and methods of activity of the Foundation

Section 4. Purposes of the Foundation

The purpose of the Foundation is socially useful activity in the field of protecting the welfare of the child, family rights, parental support and counteracting social injustice, in particular:

1. supporting parents and children experiencing family isolation, obstruction of contact, separation-related conflict, family alienation or other situations causing the severance or serious limitation of family bonds;

2. acting for the child's right to safe, lasting and respectful relations with both parents and close persons, with priority given to the welfare and safety of the child;

3. creating a community of mutual support for parents, guardians and persons close to children, regardless of gender, citizenship, origin, religion, worldview, disability, sexual orientation or family situation;

4. providing parents and families with informational, educational, psychological, social and organizational support within the limits provided by law;

5. disseminating knowledge about children's rights, parental rights, responsible parenthood, mediation, non-violent communication, counteracting violence and standards of fair proceedings before public institutions;

6. counteracting discrimination against parents and children in access to legal protection, social assistance, psychological support and education;

7. supporting legal, social and organizational solutions that protect family bonds, reliability of proceedings, respect for human rights and reduction of harm to children;

8. conducting research, educational, advocacy and international activity concerning the situation of parents isolated from children and children deprived of family relationships;

9. building social solidarity and a culture of justice, responsibility and mutual aid.

Section 5. Principles of activity and protection of the welfare of the child

1. The Foundation is guided by the priority of the welfare of the child, respect for human dignity, equal treatment of parents and responsible action in accordance with the law.

2. The Foundation does not replace courts, law enforcement authorities, administrative authorities or professional legal representatives. The Foundation may provide information, organizational support and referrals to appropriate specialists.

3. The Foundation does not support actions contrary to the welfare of the child, violent actions, harassment, circumvention of court rulings, hiding a child or violation of law.

4. The Foundation may refuse support if the circumstances indicate a risk of violating the safety of a child or other persons, or using the Foundation for unlawful actions within the meaning of the Family and Guardianship Code and the Convention on the Rights of the Child.

5. Support provided to the Founder, members of the Management Board or persons related to them as beneficiaries of statutory activities is permitted only on the same terms as for other beneficiaries, provided that the decision is made by a body of the Foundation without the participation of the interested person.

Section 6. Forms of pursuing purposes

The Foundation pursues its purposes in particular through:

1. organizing support groups, self-help circles, meetings, consultations, duty hours, workshops, webinars, conferences and social campaigns;

2. creating and running communities, online platforms, information points, mentoring programs and volunteer networks;

3. providing informational and educational support to parents, guardians, families and persons close to children;

4. referring to specialists, including psychologists, educators, mediators, advocates, legal advisers, doctors and social workers, and cooperating with them within the limits provided by law;

5. preparing, publishing and disseminating reports, analyses, guides, publications, educational materials, audiovisual content and digital tools;

6. conducting research, monitoring institutional practices and documenting social problems within the limits of law and with respect for privacy;

7. submitting petitions, applications, opinions, statements and recommendations to public authorities, international organizations and other entities;

8. organizing mediation, social dialogue and activities aimed at peaceful conflict resolution, provided that the safety of a child or other persons does not oppose it;

9. supporting legislative and systemic initiatives serving the protection of children, parents and families;

10. raising financial, material and personal resources for the pursuit of the Foundation's purposes, including donations, subsidies, grants, bequests, inheritances, public collections and foreign funds;

11. international cooperation, participation in transnational projects and exchange of knowledge and good practices with organizations from other countries;

12. conducting business activity to the extent necessary to pursue statutory purposes, after adoption of the relevant resolution by the Management Board.

Section 7. Unpaid and paid public benefit activity

1. The unpaid public benefit activity of the Foundation may include all activities indicated in Section 6 if they are conducted without collecting remuneration from the recipients of those activities.

2. The paid public benefit activity of the Foundation may include in particular trainings, workshops, conferences, educational and informational consultations, publications, educational materials, support programs and social projects, provided that the remuneration collected does not exceed the costs of that activity within the meaning of applicable regulations.

3. Revenue from paid public benefit activity serves exclusively the pursuit of the Foundation's statutory purposes.

Chapter III. Assets and income of the Foundation

Section 8. Assets of the Foundation

1. The assets of the Foundation consist of the founding fund contributed by the Founder in the amount of PLN 5,000.00 (in words: five thousand Polish zlotys and zero groszy).

2. The assets of the Foundation may include funds, property rights, movable property, real estate and other assets acquired by the Foundation in the course of its activity.

3. The Foundation is liable for its obligations with all its assets.

Section 9. Sources of income

The income of the Foundation may come in particular from:

1. donations, inheritances, bequests and instructions;

2. subsidies, subventions, grants, competitions, public and private programs;

3. public collections, crowdfunding campaigns and donation campaigns conducted in accordance with law;

4. paid public benefit activity;

5. business activity conducted on the basis of Section 3 subsection 3;

6. assets of the Foundation, bank interest and other financial income;

7. cooperation with domestic and foreign entities, including international organizations;

8. in-kind contributions, volunteer work and free-of-charge services for the Foundation.

Section 10. Financial management and restrictions

1. The assets and income of the Foundation are allocated exclusively to the pursuit of statutory purposes and covering the costs of the Foundation's activity.

2. The Foundation conducts financial management and accounting in accordance with applicable law.

3. It is prohibited to grant loans or secure obligations with the assets of the Foundation in relation to members of its bodies, the Founder, employees of the Foundation and persons with whom such persons remain in marriage, cohabitation, direct line kinship or affinity, collateral kinship or affinity up to the second degree, or are related by adoption, guardianship or custody, hereinafter referred to as "related persons".

4. It is prohibited to transfer the Foundation's assets to related persons on terms other than those applied to third parties, unless such transfer directly results from the statutory purpose of the Foundation and is carried out on the terms specified in Section 5 subsection 5.

5. It is prohibited to use the Foundation's assets for the benefit of related persons on terms other than those applied to third parties, unless such use directly results from the statutory purpose of the Foundation and is carried out on the terms specified in Section 5 subsection 5.

6. It is prohibited to purchase goods or services from entities in which related persons participate on terms other than those applied to third parties or at prices higher than market prices.

Chapter IV. Bodies of the Foundation

Section 11. Bodies of the Foundation

1. The body of the Foundation is the Management Board of the Foundation, hereinafter referred to as the "Management Board".

2. The Founder is not a body of the Foundation unless he serves as a member of the Management Board. The Founder has the personal rights indicated in the Articles of Association.

3. The Management Board may appoint program councils, expert teams, national and foreign coordinators, ambassadors, volunteers and other advisory and executive bodies that are not bodies of the Foundation within the meaning of these Articles of Association.

Section 12. Composition and appointment of the Management Board

1. The Management Board consists of one to five persons, including the President of the Management Board. The Founder may be a member of the Management Board.

2. The first composition of the Management Board is appointed by the Founder. Subsequent members of the Management Board are appointed and dismissed by the Founder by written statement or resolution.

3. Members of the Management Board are appointed for an indefinite period unless the act of appointment provides otherwise.

4. The mandate of a member of the Management Board expires as a result of dismissal, resignation, death, loss of full legal capacity or final conviction for an intentional offence prosecuted by public indictment or a fiscal offence.

5. In the event of permanent inability of the Founder to exercise his rights or his death, the right to appoint and dismiss members of the Management Board passes to the Management Board, which adopts resolutions in this matter by a two-thirds majority, and in the case of a one-person Management Board, in the form of a written decision of the sole member of the Management Board.

6. Members of the Management Board may receive remuneration for holding office or under separate agreements concluded with the Foundation. The total monthly remuneration of a Management Board member may not exceed three times the average monthly remuneration in the enterprise sector announced by the President of the Central Statistical Office for the previous year.

Section 13. Competences of the Management Board

The competences of the Management Board include conducting all affairs of the Foundation, in particular:

1. representing the Foundation externally;

2. pursuing statutory purposes and adopting strategies, plans and programs of activity;

3. managing the assets and finances of the Foundation;

4. accepting donations, inheritances, bequests, subsidies, grants and other benefits;

5. hiring and dismissing employees and associates, and appointing attorneys;

6. creating and liquidating organizational units of the Foundation in Poland and abroad;

7. adopting regulations, policies, procedures and rules of operation of the Foundation;

8. deciding on the conduct of paid public benefit activity and business activity;

9. preparing financial, substantive and other legally required reports;

10. performing other activities not reserved for the Founder or other entities by law or by these Articles of Association.

Section 14. Work procedure of the Management Board

1. The Management Board adopts resolutions at meetings convened by the President of the Management Board or by two members of the Management Board with at least three days' notice, unless all members of the Management Board agree to a shorter period.

2. The Management Board may adopt resolutions by circulation procedure, in writing or by means of electronic communication, if all members of the Management Board have received the draft resolution and none of them has requested that a meeting be convened.

3. The Management Board is capable of adopting resolutions if at least half of the Management Board composition participates in the meeting or circulation vote, including the President or his deputy.

4. Resolutions of the Management Board are adopted by a simple majority of votes of the present members of the Management Board, and in the event of a tie the vote of the President of the Management Board is decisive, unless the Articles of Association provide otherwise.

5. The detailed work procedure of the Management Board may be specified in regulations adopted by the Management Board.

Section 15. Representation of the Foundation

1. Declarations of will on behalf of the Foundation, including actions exceeding ordinary management, are made by:

the President of the Management Board acting independently, in the case of a multi-person Management Board, or

two members of the Management Board acting jointly, in the case of a multi-person Management Board, or

the sole member of the Management Board acting independently, in the case of a one-person Management Board.

2. Actions exceeding ordinary management within the meaning of Article 230 of the Civil Code include in particular:

acquisition or disposal of real estate,

encumbrance of the Foundation's assets,

incurring an obligation exceeding PLN 50,000.00,

commencing or conducting business activity,

joining a company or another entity requiring capital involvement.

3. To conclude an agreement and perform a legal act between the Foundation and a member of the Management Board, or to represent the Foundation in a dispute with a member of the Management Board, an attorney must be appointed by the Founder. In the event of permanent inability of the Founder to exercise his rights, the attorney is appointed by the Management Board by a two-thirds majority, excluding the member to whom the legal act or dispute relates.

Chapter V. Rights of the Founder

Section 16. Scope of the Founder's rights

The exclusive personal rights of the Founder include:

1. appointing and dismissing members of the Management Board, including the President of the Management Board, in accordance with Section 12 subsection 2;

2. approving annual financial and substantive reports of the Foundation by 30 June of the year following the financial year;

3. consenting to amendments to the Articles of Association concerning the purposes of the Foundation and to liquidation of the Foundation;

4. supervising the compliance of the Foundation's activity with law, the Articles of Association and the will of the Founder;

5. access at any time to documents, accounting books, reports and correspondence of the Foundation;

6. requesting explanations, information and documents from the Management Board concerning the activity of the Foundation;

7. participating in meetings of the Management Board in an advisory capacity, without voting rights, unless the Founder is a member of the Management Board.

Section 17. Exercise of the Founder's rights

1. The Founder exercises his rights in the form of a written statement or resolution addressed to the Management Board.

2. The Management Board is obliged to provide the Founder with all requested documents within 14 days of receiving the request, unless the nature of the matter requires urgent action.

3. In the event of permanent inability of the Founder to exercise his rights or his death, the rights specified in Section 16 items 1, 2, 5, 6 and 7 expire, and the rights specified in Section 16 items 3 and 4 pass to the Management Board, which exercises them by a two-thirds majority of its composition.

4. Amendments to the Articles of Association concerning the purposes of the Foundation and liquidation of the Foundation require, in accordance with Section 16 item 3, the prior written consent of the Founder. In the event of the Founder's death or permanent inability to act, this right passes to the Management Board, which adopts a decision by a two-thirds majority in an open vote with all members of the Management Board present.

Chapter VI. Amendment of the Articles of Association

Section 18. Procedure for amending the Articles of Association

1. An amendment to the Articles of Association not related to the purposes of the Foundation requires a resolution of the Management Board adopted by a two-thirds majority in the presence of at least half of the Management Board composition.

2. An amendment to the Articles of Association concerning the purposes of the Foundation (Section 4) requires:

prior written consent of the Founder and

a resolution of the Management Board adopted by a two-thirds majority in the presence of all members of the Management Board.

3. In the event of permanent inability of the Founder to exercise his rights or his death, the Founder's consent is not required, and amendment of the purposes of the Foundation may take place on the basis of a resolution of the Management Board adopted by a two-thirds majority in the presence of all members of the Management Board.

4. A resolution amending the Articles of Association requires written form and entry in the National Court Register.

Chapter VII. Liquidation of the Foundation and allocation of assets

Section 19. Liquidation of the Foundation

1. The Foundation is liquidated in the event of:

achievement of the purpose for which it was established,

exhaustion of the Foundation's funds and assets,

adoption of a resolution on liquidation by the Management Board, subject to the requirements specified in subsection 2,

another case provided for by law.

2. Liquidation of the Foundation requires:

prior written consent of the Founder and

a resolution of the Management Board adopted by a two-thirds majority in the presence of all members of the Management Board.

3. In the event of permanent inability of the Founder to exercise his rights or his death, the Founder's consent is not required, and liquidation may take place on the basis of a resolution of the Management Board adopted by a two-thirds majority in the presence of all members of the Management Board.

4. The liquidators of the Foundation are the members of the Management Board unless the liquidation resolution or the Founder indicates other persons.

Section 20. Allocation of assets after liquidation

1. Assets remaining after liquidation of the Foundation are transferred to a public benefit organization or foundation conducting activity similar to the purposes of this Foundation, in particular in the field of protection of children's rights, family support, counteracting discrimination or protection of human rights.

2. The organization to which the assets will be transferred is indicated by the Management Board in the liquidation resolution after consulting the Founder, if the Founder is able to exercise his rights.

3. If the Founder is able to exercise his rights, allocation of assets after liquidation requires the prior written consent of the Founder.

4. In the absence of indication of an organization in accordance with subsection 2, or if it is not possible to transfer assets to the indicated organization, the liquidators transfer the assets to a public benefit organization operating in the field of protection of children's or family rights, indicated by the minister competent for family affairs.

Chapter VIII. Transitional and final provisions

Section 21. First composition of the Management Board

1. The first composition of the Management Board of the Foundation is appointed by the Founder in the notarial deed establishing the Foundation or in a separate written statement with a notarized signature.

2. The first President of the Management Board is Bartosz Sinczuk (Founder), unless the act appointing the Management Board provides otherwise.

3. The first Management Board begins performing its duties upon entry of the Foundation in the National Court Register.

Section 22. First financial year

The first financial year of the Foundation may be shorter or longer than 12 months and ends on 31 December of the year in which the Foundation is entered in the National Court Register, or, if the entry occurs in the fourth quarter of the calendar year, on 31 December of the following year.

Section 23. Transitional rules concerning the Founder

1. In the event of the Founder's death or permanent inability to exercise his rights, all personal rights of the Founder provided for in the Articles of Association expire or pass to the Management Board to the extent indicated in the relevant provisions of the Articles of Association.

2. The Founder may, in a will or in a separate written statement, indicate a person or persons who after his death will be entitled to exercise the supervisory rights specified in Section 16 items 5, 6 and 7. Exercise of these rights by the indicated persons does not require the consent of the Management Board.

3. Failure to make such indication results in the expiry of supervisory rights upon the death of the Founder.

Section 24. Language of the Articles of Association

1. The Articles of Association were prepared in Polish. If the Articles of Association are translated into a foreign language, in the event of discrepancies the Polish-language version is binding.

2. The Foundation may use translations of the Articles of Association in international contacts, subject to the priority of the Polish version for legal interpretation.

Section 25. Entry into force

The Articles of Association enter into force on the date of entry of the Foundation in the National Court Register.
